Riot calls for special Bitfarms meeting, withdraws $950m acquisition proposal.

The Colorado-headquartered company is stating that Bonta and Finkielsztain are directly responsible for Bitfarms board’s poor corporate governance practices and the consistent inability to fully realize Bitfarms’ potential. In response, Riot Platforms plans to remove any additional director appointed by the Bitfarms board after the date of their press release. Meanwhile, Riot has nominated three directors – John Delaney, Amy Freedman, and Ralph Goehring – to replace Bonta and Finkielsztain.

This was cited as necessary to address the “broken corporate governance” within Bitfarms. Riot’s recent actions follow months of attempting to engage with Bitfarms regarding a possible merger.
